Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Roomerly website at roomerly.artand the Roomerly web application (collectively, the “Service”), operated by Roomerly (“Roomerly,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using Roomerly, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account registration

Certain features of the Service require you to create an account. When you register, you agree to:

• Provide accurate, complete, and current information.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately at support@roomerly.art if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or that contain false information.

3. Description of service

Roomerly is an AI-powered room styling service. Users upload photographs of their living spaces, and the Service generates personalized styling recommendations along with curated product suggestions from third-party retailers. The Service is provided via a web application accessible through standard web browsers.

4. User content

4.1 Ownership

You retain all ownership rights to the photographs and other content you upload to the Service (“User Content”). By uploading User Content, you do not transfer ownership to Roomerly.

4.2 License grant

By uploading User Content, you grant Roomerly a limited, non-exclusive, royalty-free, worldwide license to use, process, store, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete the User Content or your account, subject to reasonable backup deletion timelines (up to 90 days).

4.3 Your responsibilities

You represent and warrant that:

• You own or have the necessary rights to upload the User Content.
• The User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
• The User Content does not contain unlawful, defamatory, obscene, or otherwise objectionable material.

You are solely responsible for the User Content you upload. Do not upload photos of spaces you do not have permission to photograph.

5. AI-generated recommendations

Roomerly is not an interior design firm and does not provide professional interior design services. The AI recommendations do not constitute professional advice. You are solely responsible for any purchasing or decorating decisions you make based on the Service’s output.

6. Affiliate links & third-party purchases

6.1 Affiliate disclosure

Roomerly contains affiliate links to third-party retailer websites, including but not limited to Amazon, IKEA, Wayfair, and Etsy. When you click on a product link and make a purchase, Roomerly may earn a commission at no additional cost to you. This affiliate relationship does not influence the price you pay or the products we recommend.

6.2 Third-party transactions

When you click an affiliate link, you leave the Roomerly Service and enter a third-party website. Any purchases, returns, warranties, shipping, customer service, or disputes are governed solely by that retailer’s terms and policies. Roomerly is not a party to any transaction between you and a third-party retailer and assumes no liability for such transactions.

6.3 Product information

We make reasonable efforts to display accurate product information (prices, availability, descriptions) based on data provided by retailers and affiliate networks. However, this information may change without notice. Roomerly does not warrant the accuracy, completeness, or timeliness of product information displayed in the Service.

7. Subscription & payments

7.1 Free and paid plans

Roomerly offers both free and paid subscription plans. Free accounts have access to limited features. Paid plans unlock additional features as described on the Service at the time of purchase.

7.2 Billing

Paid subscriptions are billed on a recurring basis (weekly, monthly, or yearly, depending on the plan you select). By subscribing, you authorize Roomerly to charge your chosen payment method at the beginning of each billing cycle.

7.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period. We do not provide prorated refunds for partial billing periods unless required by applicable law.

7.4 Price changes

We may change subscription prices from time to time. We will provide at least 30 days’ notice before any price increase takes effect. If you do not agree with a price change, you may cancel before the new price applies.

7.5 Free trials

If we offer a free trial, it will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends. We will clearly disclose the trial duration and the applicable subscription price before you begin.

8. Prohibited uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload content that is infringing, defamatory, obscene, harassing, threatening, or that promotes violence or discrimination.
• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service or its AI models.
• Scrape, crawl, or use automated means to access the Service or extract data, except as expressly permitted by our robots.txt.
• Interfere with or disrupt the Service, servers, or networks, or attempt to gain unauthorized access.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Use the Service to generate content for competing products or services.
• Resell, sublicense, or commercially exploit the Service or its output without our written consent.

9. Intellectual property

9.1 Roomerly’s IP

The Service, including its design, code, AI models, algorithms, text, graphics, logos, and all other proprietary content, is owned by Roomerly or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in Roomerly’s intellectual property except the limited right to use the Service as described herein.

9.2 AI output

Styling recommendations and visualizations generated by the AI are provided as part of the Service for your personal, non-commercial use. You may use AI-generated recommendations to make purchasing and decorating decisions. You may not use AI output to create or train a competing AI model or service.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant Roomerly a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation to you.

10. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

11. Limitation of liability

To the maximum extent permitted by applicable law, Roomerly and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.

Our total aggregate liability for all claims related to the Service shall not exceed the greater of (a) the amounts you have paid to Roomerly in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Roomerly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Dispute resolution

13.1 Informal resolution

Before filing any formal dispute, you agree to first contact us at legal@roomerly.art and attempt to resolve the dispute informally for at least 30 days.

13.2 Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

13.3 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA). Arbitration shall take place remotely (online/telephonic) unless otherwise agreed. Each party bears its own costs, and the arbitrator’s award is final and binding.

13.4 Class action waiver

You agree that any disputes shall be resolved on an individual basis only. You waive the right to participate in class actions, class arbitrations, or consolidated proceedings.

13.5 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm. Users in the EU/EEA may bring proceedings in their local courts as required by EU consumer protection law.

14. Modifications to the service & terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, abusive behavior, or extended inactivity. Upon termination, your license to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 4.2, 9, 10, 11, 12, and 13) will survive.

You may terminate your account at any time by deleting it through your account settings or by contacting us at support@roomerly.art.

16. General provisions

• Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Roomerly regarding the Service.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
• Waiver. Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force majeure. Roomerly is not liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, epidemics, government actions, or internet disruptions.
